Executive Committee
Committee Purpose or Mission:
The Executive Committee oversees the board’s work and makes recommendations regarding board governance.
The Executive Committee shall not have the power to:
- Amend the Bylaws
- Adopt the budget
- Take any action that is contrary to or a substantial departure from the direction of the Board.
- Appoint or remove Directors or the Executive Director.
Activities, Duties and Responsibilities:
Bylaws Article VI: Section 2: The Committee is responsible for overseeing the work of the board and making recommendations regarding board governance.
- The Committee will develop the Board meeting agenda and issue an agenda with relevant documents to the Board one week in advance of the board meeting.
- The Committee shall monitor the performance of the Executive Director, conduct an annual performance review, and make recommendations to the Board regarding the Executive Director’s performance goals for the subsequent year.
- The Committee will provide a sounding board to the Executive Director and serve as a source of ready advice on operations.
- The Committee may invite any director, staff, or other individual not a Committee member to attend Committee meetings. Still, such persons will not have voting power or be considered Committee members.
- The Committee will review this charter periodically and recommend any proposed changes to the Governance Committee for review and to the Board for approval.
