Governance Committee
Committee Purpose or Mission:
Ensure the Board has the proper structure, skills, and competence to function effectively.
Type of Committee:
Makes recommendations to Executive Committee & Board. Can enforce any policies approved by the Board.
Activities, Duties and Responsibilities:
- Develop and implement a Strategic Board Member Recruitment Process for identifying and developing future Board members;
- Develop and implement a comprehensive Board development plan, which includes methods and tools for orienting, training, educating, and evaluating diverse, skilled, and knowledgeable Board members;
- Develop and conduct new Board member orientation and a mentorship program;
- With input from the Board, annually develop a list of selection criteria and competencies needed on the Board for use by the Nominating Committee when developing the slate of nominees for Officers and Directors;
- Regularly review the Bylaws and recommend changes as needed to the Executive Committee and the Board;
- Review and monitor compliance with the following Board-approved policies and recommend new policies to the Board as necessary:
Assessing Organizational Performance and Compliance with Board Policies.
- Board Attendance Policy;
- Board Give or Get Policy;
- Recording of Board of Directors Meetings;
- Board Terms & Expirations;
Ensure the Board has:
- Ensure the Board has adequate information to monitor compliance with Board policies and procedures and recommend changes to such procedures as needed to the Board;
- Regularly review the Board Committee structure, including responsibilities and composition, and recommend changes as needed to the Executive Committee and Board;
- At least every two years, conduct a Board self-evaluation to measure the Board’s effectiveness and to identify areas for improvement;
- Review Board meeting evaluation results to identify areas for improvement;
- Periodically review board committee structure and make recommendations for changes to the board.
